1. Acceptance of Terms

By accessing or using MemoReader (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

MemoReader is an AI-powered document transcription platform designed for law enforcement agencies. The Service allows users to upload scanned handwritten documents, receive AI-generated transcriptions, organize documents into cases, collaborate with team members, and export transcription results.

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring that all information you provide is accurate and up to date

You must be at least 18 years of age to create an account and use the Service.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload documents that you do not have the right to process
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated tools to access the Service without our express permission
  • Reverse engineer, decompile, or attempt to extract the source code of the Service

5. Subscription & Billing

MemoReader offers Free and Pro subscription tiers. The Free tier provides limited lifetime usage. Pro subscriptions are billed monthly or annually through Stripe and renew automatically unless cancelled.

Subscription Limits

Each subscription tier has defined limits for the number of memos, pages, and storage. If you exceed your tier's limits, you will need to upgrade your subscription to continue uploading or transcribing documents.

Cancellation & Refunds

You may cancel your subscription at any time through the billing settings. Upon cancellation, you will retain access to your Pro features until the end of your current billing period. Refunds are handled on a case-by-case basis. Please contact us for refund requests.

6. Intellectual Property

Your Content: You retain all ownership rights to the documents you upload and the transcriptions generated from them. By uploading documents to the Service, you grant us a limited license to process, store, and display your content solely for the purpose of providing the Service.

Our Service: The Service, including its design, code, features, and documentation, is owned by MemoReader and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

7. AI Transcription Disclaimer

The transcription results provided by the Service are generated by artificial intelligence and may not be 100% accurate. Transcriptions should be reviewed by a qualified person before being used for official purposes. MemoReader does not guarantee the accuracy of any transcription and the Service does not constitute legal advice. You are solely responsible for verifying the accuracy of transcriptions before relying on them.

8. Data Processing

When you request a transcription, the content of your document is sent to Google's Gemini AI for processing. By using the transcription feature, you acknowledge and consent to this data transfer. For more information about how we handle your data, please see our Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by law, MemoReader shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use of or inability to use the Service
  • Any inaccuracies in AI-generated transcriptions
  • Unauthorized access to or alteration of your data
  • Any third-party conduct on or related to the Service

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will cease immediately. You may delete your account at any time by contacting us. We will make reasonable efforts to allow you to export your data before termination, except in cases of Terms violations.

11. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in California.
